1. Acceptance of Terms

By downloading, installing, or using the Upkeep mobile application or visiting the website at upkeep.social (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Imperial Engineering Labs Pvt Ltd ("Upkeep", "we", "us", or "our"), the company that operates the Service.

2. Your Account

To use Upkeep, you must create an account using Apple Sign-In or Google Sign-In. By creating an account, you agree that:

• You are at least 13 years of age (or the minimum age required in your jurisdiction).
• You will maintain only one account per person.
• The information you provide during sign-in is accurate.
• You are responsible for all activity that occurs under your account.
• You will keep your account credentials secure and will not share access with others.
• You will notify us immediately at support@upkeep.social if you suspect unauthorized access to your account.

3. The Service

Upkeep is a step challenge app that lets you compete with friends in private groups. The Service includes:

• Step challenges: Create or join challenges with friends where daily step goals are tracked and verified.
• Health data verification: Step counts are verified through Apple HealthKit (iOS) or Health Connect (Android) to ensure fairness.
• Consistency scoring: A proprietary scoring system that tracks how reliably you meet your step goals over time.
• Social accountability: Leaderboards, streaks, and group features to help you stay motivated.

The Service is currently offered free of charge. We reserve the right to introduce paid features or subscription tiers in the future, with advance notice to users.

4. Acceptable Use

You agree to use the Service only for its intended purpose and in compliance with all applicable laws. You must not:

• Cheat or spoof data: Fabricate, manipulate, or artificially inflate step counts or health data by any means, including but not limited to using device-shaking tools, GPS spoofing, or third-party apps that inject false health data.
• Harass others: Engage in bullying, threats, hate speech, or any form of harassment toward other users.
• Impersonate: Create accounts or profiles that impersonate another person or entity.
• Use automated access: Use bots, scrapers, crawlers, or any automated means to access the Service, collect data, or interact with the platform.
• Interfere with the Service: Attempt to disrupt, overload, or compromise the security or integrity of the Service or its infrastructure.
• Reverse engineer: Decompile, disassemble, or reverse engineer any part of the Service, except where permitted by applicable law.

We employ anti-cheat measures to detect spoofed or manipulated step data. Violations may result in challenge disqualification, score adjustments, or account suspension.

5. Health Data

Upkeep accesses health and fitness data from your device with your explicit permission:

• On iOS, we read data from Apple HealthKit, including step counts, distance, active and basal energy burned, exercise time, heart rate, resting heart rate, heart rate variability, walking heart rate, workout sessions, height, and weight.
• On Android, we read data from Health Connect, including step counts, distance, active and basal energy burned, exercise time, heart rate, resting heart rate, heart rate variability, workout sessions, height, and weight.

We use this data to verify challenge participation, calculate your consistency score, and personalise challenge targets. We do not sell your health data to third parties. Health data sourced from HealthKit or Health Connect is read-only and cannot be manually edited or overridden through Upkeep.

Important: Upkeep is not a medical application. We do not provide medical advice, diagnosis, or treatment recommendations. The health metrics displayed in the app — including step counts, heart rate data, and consistency scores — are for motivational and social purposes only and should not be relied upon for any medical or clinical purpose. Always consult a healthcare professional before starting or modifying an exercise program.

6. Advertising and Analytics

Upkeep does not display advertisements within the app. We may use third-party services (such as Google Ads) to promote Upkeep to new users and may share limited device identifiers with these partners for conversion measurement. 7. Intellectual Property

The Service, including its design, branding, logos, text, graphics, software, and all other content (collectively, "Upkeep Content"), is owned by Imperial Engineering Labs Pvt Ltd and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on Upkeep Content without our prior written consent.

Any content you create within the Service (such as challenge names or group names) remains yours. By creating such content, you grant us a non-exclusive, royalty-free, worldwide license to display it within the Service as necessary for its operation.

8. Privacy

Your privacy matters to us. Our Privacy Policy explains what data we collect, how we use it, and your rights regarding your personal information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Service will be uninterrupted, error-free, or secure.
• Any warranty regarding the accuracy of step counts or health data, which are sourced from third-party health platforms (Apple HealthKit and Health Connect).

Upkeep is not a medical device. We are not responsible for any health outcomes, injuries, or medical conditions arising from your use of the Service or reliance on data displayed within it.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Imperial Engineering Labs Pvt Ltd, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or personal injury, arising out of or in connection with your use of or inability to use the Service.

In no event shall our total aggregate liability exceed the amount you have paid us in the twelve (12) months preceding the claim, or one hundred Indian Rupees (INR 100), whichever is greater.

11. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, or is otherwise objectionable.

You may delete your account at any time through the app. Upon deletion, your personal data will be handled in accordance with our Privacy Policy. For step-by-step instructions and details about what data is removed, see our account deletion page.

Sections that by their nature should survive termination (including but not limited to Disclaimers, Limitation of Liability, and Governing Law) will survive any termination of these Terms.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the app or by other reasonable means. The "Last updated" date at the top of this page indicates when the Terms were most recently revised.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the Service and delete your account.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.
